Terms and conditions of supply
Business-to-business terms. Supply is to institutions only; consumer contract law does not apply to supply under these terms.
1. Parties
These terms govern supply by Perfect Peptides Ltd (“we”) to the purchaser (“you”). They apply to the exclusion of any terms you seek to impose.
2. Acceptable use
Supply is conditional on the research use only and acceptable use conditions set out under Compliance, which form part of these terms.
3. Quotations and orders
Quotations are invitations to treat and are valid for 30 days. A contract is formed only when we confirm your order in writing. We may decline an order at our discretion, including where the stated research application is unclear or inconsistent with the account record.
4. Price and payment
Prices are quoted per batch and exclude VAT and carriage. Payment terms are stated on the quotation. We do not accept payment from personal accounts.
5. Specification and warranty
Material is supplied to the specification on its certificate of analysis. We warrant that material conforms to that certificate at the point of dispatch. We give no other warranty, express or implied, including as to fitness for any particular purpose.
6. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited at law. Subject to that, our total liability in respect of any order is limited to the price paid for that order, and we are not liable for loss of profit, loss of data, loss of research output, or any indirect or consequential loss.
We are not liable for any loss arising from use of material outside the acceptable use conditions, and you indemnify us against claims arising from such use.
7. Governing law
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
